Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ReadyTrack ("Company," "we," "us," or "our"), governing your access to and use of the ReadyTrack platform available at https://readytrack.app (the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1. User Eligibility
You must be at least 16 years of age to use the Service. If you are between 16 and 18 years of age (or the age of legal majority in your jurisdiction), you may use the Service only with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement and that your use of the Service does not violate any applicable law or regulation in your jurisdiction.
2. Account Responsibilities
To access certain features of the Service, you must create an account. When creating your account, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security and confidentiality of your login credentials.
- Promptly notify us at [email protected] of any unauthorized access to or use of your account.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that contain false or misleading information, or that we reasonably believe have been compromised.
3. Description of Service
ReadyTrack is a pre-show backing track preparation tool. The Service analyzes uploaded backing tracks for live-performance risks (including silence detection, volume inconsistency, and missing count-ins) and exports processed audio files as a gig-ready package. The Service is not an audio player, audio editor, or stem separator.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.
4. Use of Services
4.1 Permitted Uses
You may use the Service to upload, analyze, process, and export backing tracks for legitimate personal or professional live-performance preparation purposes.
4.2 Prohibited Uses
You agree not to:
- Use the Service for any purpose that violates applicable local, national, or international laws or regulations.
- Upload content that infringes on the intellectual property rights, privacy rights, or other rights of any third party.
- Attempt to gain unauthorized access to our systems, servers, networks, or data.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure.
- Distribute malware, viruses, or other harmful code through the Service.
- Resell, sublicense, or commercially redistribute the Service or any outputs derived from it without our prior written consent.
4.3 Automated Access
You may not use bots, crawlers, scrapers, or other automated tools to access the Service unless we have provided explicit written authorization. Rate limits and access restrictions apply to all accounts.
5. Purchases and Payments
5.1 Pricing Structure
ReadyTrack operates on a per-export, one-time payment model. Current plan details and pricing are listed on our Pricing page. Prices are subject to change. Any price changes will apply only to purchases made after the effective date of the change.
5.2 Payment Processing
Payments are processed through third-party payment providers. By making a purchase, you agree to the terms and conditions of the applicable payment provider. You are responsible for providing accurate and complete billing information.
5.3 Re-exports
Paid orders include up to 5 free re-exports per order while your files remain in our system. Each track must not exceed 12 minutes in duration.
5.4 Refund Policy
You pay only for successful exports. If processing fails due to a system error, we will issue a refund. All other refund requests are evaluated on a case-by-case basis. To request a refund, contact [email protected].
5.5 Free Tier Limitations
Free single-track exports are limited to 3 per account lifetime. Free-tier project files are retained for 7 days. Paid project files are retained for 30 days. After the applicable retention period, files are permanently deleted.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including its software, algorithms, interface design, documentation, and branding, is owned by ReadyTrack and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you ownership of any part of the Service.
6.2 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.
6.3 Processed Output
Audio files processed through the Service are derivative works of your original uploads. We claim no ownership over your processed output files. Your right to use, distribute, or perform processed files is subject to whatever rights you hold in the original source material.
7. User-Generated Content
7.1 Your Content
You retain all ownership rights to the audio files and other content you upload to the Service ("User Content"). You are solely responsible for ensuring that you have the necessary rights, licenses, or permissions to upload and process your User Content.
7.2 License to ReadyTrack
By uploading content to the Service, you grant us a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of providing the Service to you. We will not use your content for any other purpose, including training machine learning models, without your explicit consent.
7.3 Content Responsibility
You represent and warrant that your User Content does not violate any third party's intellectual property rights, privacy rights, or other legal rights. We reserve the right to remove content that we reasonably believe infringes on any third party's rights or violates these Terms.
8. Termination
8.1 Termination by You
You may close your account at any time through your account settings or by contacting [email protected].
8.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if you:
- Violate these Terms or any applicable law.
- Engage in conduct that is harmful to other users, to us, or to third parties.
- Use the Service in a manner that could damage, disable, or impair the Service.
8.3 Effects of Termination
Upon termination, your right to access the Service ceases immediately. We may delete your account data and uploaded files. Termination does not relieve you of any obligations incurred prior to termination, including payment obligations. Sections of these Terms that by their nature should survive termination will remain in effect.
9. Privacy and Data Protection
9.1 Data Collection
We collect and process personal data in accordance with our Privacy Policy. By using the Service, you consent to the collection and use of your data as described therein.
9.2 GDPR Compliance
If you are located in the European Economic Area, the United Kingdom, or Switzerland, you have rights under the General Data Protection Regulation (GDPR), including the rights to access, rectify, erase, restrict processing of, and port your personal data. 9.3 CCPA Compliance
If you are a California resident, the California Consumer Privacy Act (CCPA) grants you additional rights regarding your personal information, including the right to know what personal information we collect, the right to request deletion, and the right to opt out of the sale of personal information. We do not sell personal information.
9.4 Audio Data
Audio files you upload are processed solely to deliver the Service. We do not use your audio files for training algorithms or models. Uploaded files are deleted after the applicable retention period (7 days for free-tier projects, 30 days for paid projects).
10. Third-Party Services
The Service may integrate with or contain links to third-party websites, services, or payment processors. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies. We encourage you to review those terms before engaging with third-party services.
11. Disclaimers and Limitations of Liability
11.1 Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 No Guarantee of Results
We do not guarantee that processed audio files will be free of defects or suitable for any particular performance scenario. You are responsible for reviewing all exported files before use in a live setting.
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, READYTRACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11.4 Indemnification
You agree to indemnify, defend, and hold harmless ReadyTrack, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third party's rights.
12. Modifications to Terms
We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you through the Service or by email. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and close your account.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ReadyTrack is incorporated, without regard to conflict of law principles.
13.2 Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may submit the dispute to binding arbitration under the rules of a mutually agreed-upon arbitration body.
13.3 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.
13.4 Exceptions
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and ReadyTrack regarding your use of the Service and supersede all prior agreements and understandings.
